Welcome to ALGORX (“us,” “we,” “our”). This Terms of Service Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” “your”) and our platform. By using our platform, you agree to be bound by this Agreement. If you do not agree to be bound by this Agreement, you are strictly prohibited from visiting, accessing, registering with and/or using our services and platform.

AlgoRx is a technology platform that facilitates access to online consultations with third-party, independent medical providers and the coordination of ancillary services, such as pharmacy and laboratory services, if available in your area.

• We are not a medical provider.
• We are not a pharmacy.
• We are not a laboratory.
• We do not practice medicine, dispense or compound medication, or conduct laboratory testing.
• We do not control or interfere with any independent provider, pharmacy, or laboratory.

Our role is limited to facilitating secure communication and transactions between you and these independent third parties.
The content on our website and any communications with our representatives do not constitute medical advice. Users should always seek medical advice from a licensed healthcare provider to ensure any treatment or medication is suitable and safe.

Partner Pharmacies and Laboratories

Our services may include access to prescription fulfillment services offered by the following pharmacies:

• Honeybee Health, Inc.
• ReviveRx Compounding Pharmacy
• Strive Pharmacy

Laboratory services may be provided by:

• LabCorp
• Quest Diagnostics
• BioReference Laboratories, Inc.

You have the right to have your prescription filled and laboratory work performed by any pharmacy or laboratory of your choosing. However, if you wish to opt out of using our partnered pharmacies, do not complete a purchase through our platform and instead contact us at support@algorx.ai to discuss alternatives.

Please note:

• We cannot guarantee that the medications available through our partnered pharmacies will be available through other pharmacies, and availability, pricing, or insurance coverage may vary.
• If another pharmacy is used, AlgoRx will still charge the amount listed on our platform for that product. The listed cost reflects the cost of using the platform, not a guarantee of external pharmacy pricing.
• AlgoRx will provide contact information for the relevant pharmacy, laboratory, or provider upon request. Any disputes regarding prescriptions, medication quality, compounding, or laboratory testing must be taken up directly with the independent entity responsible for that service.

Scope of Services

Our platform connects Users with independent Providers for telehealth services that allow Users to access healthcare remotely through certain means of communication, including quiz or question-based consultations, online chat, and video or phone calls, based on the independent medical judgment of the Providers.

The healthcare services provided through our platform are offered by licensed, independent healthcare professionals authorized to practice medicine in their jurisdictions.
Prescription fulfillment is performed by licensed, independent pharmacies.
Laboratory testing is conducted by licensed, independent laboratories.
Each of these entities operates under their own professional and regulatory obligations. AlgoRx has no control over and does not interfere with their independent professional judgment or services.

By using the platform, you acknowledge and agree that:

• You are not entering into a provider–patient or pharmacist–patient relationship with AlgoRx.
• We are not responsible for the outcome of medical care, medication, or laboratory services provided by independent third parties.

Use of Platform

Users must be at least 18 years old to use our platform and must use it for lawful purposes and in accordance with this Agreement. Users may not use our platform to transmit or disseminate any illegal, harmful, offensive, or otherwise objectionable material. Users are solely responsible for ensuring their use of our platform complies with all applicable laws, rules, and regulations.

Privacy

We take the privacy of our Users seriously and collect and process User data in accordance with our Privacy Policy, available on our website. By using our platform, Users consent to the collection and processing of their personal information in accordance with our Privacy Policy.

Consent to Communications

By using our platform, Users consent to receiving communications from us, including emails, text messages, and push notifications. These communications may include appointment reminders, updates about healthcare services, and promotional messages. Sensitive information will only be shared within the platform, but notifications via text or email will prompt Users to check the platform for updates.

Purchases and Payment

You acknowledge and agree that:

• You are explicitly choosing to obtain products and services on a cash basis outside of any federal or state healthcare program or commercial health insurance plan.
• You have sole financial responsibility for all services or products obtained through the platform.
• Neither you nor the Providers, pharmacies, or laboratories will submit a claim for reimbursement to any federal or state healthcare program or commercial health insurance plan for the costs of services and products obtained through the platform.

Pricing includes amounts charged by the Providers and partnered pharmacies and laboratories for their services and any fees associated with the platform's services. Charges for professional services (from Providers, pharmacies, or laboratories) are passed through to them directly. AlgoRx does not retain or divert fees owed to medical providers, pharmacies, or laboratories. The balance of the amount you pay is for the use of the AlgoRx technology platform, customer support, and administrative services.

Transactions and Payment Processing

We use a third-party payment processor for transactions. By using our platform, Users agree to be bound by the processor’s Terms of Service, available on their website. Users are responsible for ensuring their payment information is accurate. In case of payment disputes, Users should contact our customer service team for assistance.

Refunds, Returns, and Lost/Stolen Packages

Refunds are governed by our Refund, Return, and Lost/Stolen Package Policy. By using our platform, you acknowledge and agree to the following:

Eligible Refunds

• You may be eligible for a refund or partial refund if your order has not yet shipped.
• You may be eligible for a refund or partial refund if your lab work has not yet been processed.

Refund Fees

• All approved refunds are subject to a 25 percent processing fee to cover administrative and service-related costs.
• If a licensed provider has reviewed and approved your order, a 15 dollar provider fee is non-refundable, even if the medication has not yet shipped.
• Refunds will be issued to your original payment method within 5 to 10 business days after approval.

Non-Refundable Items

• Once lab work has been processed, the service is non-refundable.
• Shipped medications or lab kits are non-refundable to ensure product safety and compliance with state and federal law. Pharmacies are legally prohibited from accepting returned medications.

How to Request a Refund

To request a refund, email us at support@algorx.ai with your full name, order number, and reason for the request. Our team will review and respond within 2 to 3 business days.

Lost or Stolen Packages

AlgoRx is not responsible for packages marked as “Delivered” by the shipping carrier.

If your tracking shows delivered but you cannot locate the package:

• Check common delivery areas such as your porch, mailbox, neighbors, or front desk.
• Contact the shipping carrier to file a claim.
• Notify our team at support@algorx.ai and we will assist where possible.

We are unable to provide refunds or replacements for packages confirmed as delivered by the shipping provider.

Eligible Refunds

• You may be eligible for a refund or partial refund if your order has not yet shipped.
• You may be eligible for a refund or partial refund if your lab work has not yet been processed.

Refund Fees

Returns

Due to safety and compliance regulations, we do not accept returns on lab kits or medications, whether opened or unopened.

Issues with Products, Services, or Labs

If you believe there is an issue with the medical care you received, contact your licensed provider directly. If you believe there is an issue with a medication you were dispensed, contact the dispensing pharmacy directly. If you believe there is an issue with a laboratory test, contact the laboratory directly. AlgoRx will provide the relevant contact information upon request but bears no responsibility for the independent services of providers, pharmacies, or laboratories.

Licensed Healthcare Providers

Healthcare services provided through our platform are delivered by licensed third-party Providers. Users acknowledge that these services are not a substitute for in-person medical advice, diagnosis, or treatment.

Disclaimers

We make no representations or warranties, express or implied, regarding the operation of our platform or the information, content, materials, or products included on it.

Limitation of Liability

To the extent permissible under the law, we and our affiliates shall not be liable for any damages arising out of or related to the use of our platform or the healthcare services provided through it.

Indemnification

Users agree to indemnify and hold harmless AlgoRx and its affiliates from any claims arising out of their use of our platform or any breach of this Agreement.

Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the State of Wyoming, and any disputes shall be resolved exclusively in the courts located in Wyoming.

Modifications to Agreement

We reserve the right to modify this Agreement at any time. Users are responsible for regularly reviewing it, and their continued use of our platform constitutes acceptance of any modifications.
